Michael DiGiovanni has 40 plus years of entrepreneurial, operational, and managerial experience. He is the Co-Founder and President of PhilanthroPay, a charitable based, merchant service platform.
Michael is also the CEO and founder of 1st National Payment Solutions, a national merchant service provider, established in Los Angeles California in 1998, that has offices on Long Island, New York and Traverse City, Michigan.
Starting as a single man operation, Michael has created a scalable model and infrastructure which services and supports thousands of clients nationally, processing hundreds of millions of dollars in transaction volume annually through long term relationships with top tier processing networks and settlement banks.
Prior to that, Michael was the operations/production Manager for Streetwear/ Fashion Headquarters Inc. a New York based lady’s sportswear manufacturer. His responsibilities at FHQ included fulfilling orders placed by large department store chains by managing the manufacturing process from the receipt of patterns and raw materials to the entire production process spread between 15 facilities, culminating in packaging and distribution to vendors nationally.
Michael’s additional work experience includes Asset Management where he was responsible for discovery, collections, repossession, and remarketing of High-Ticket items resulting from defaulted leasing and financing agreements.
Michael also founded Rockbottom Productions an event promotion company he ran throughout his college career in Los Angeles, San Diego and finally Boulder Colorado the institution from which he graduated.
John Magliana is a widely recognized and respected general counsel and international mergers and acquisitions attorney with over 36 years of experience planning, negotiating, structuring, conducting effective due diligence examinations and implementing international and domestic business transactions to his clients’ optimum tax and business advantage.
Known for his creativity and relentless pursuit of his client’s objectives, John has been lead counsel in literally hundreds of business transactions including both equity and asset sales and purchases, as well as all forms of reorganizations, financings, and restructurings, involving both public and private companies. John has also served in a variety of business capacities over the years with early-stage and established companies, including President, V.P. of Corporate Development, Secretary and Director, giving him a practical insight that is rare for attorneys.
John is a co-founder and former General Counsel and Secretary of Golden Leaf Holdings, Ltd., a cannabis company with U.S. (and formerly Canadian) operations, which he took public and obtained listings on both the CSE and OTCQB.
John has served on the Executive Committee of the Oregon State Bar’s Tax Section for four years, was a cofounder of the Oregon State Bar’s Cannabis Section in 2016, and served as its first elected Chairman in 2018.
John speaks nationally and writes on a variety of legal and business topics.
John received his B.A. from Oregon State University, J.D. from Willamette University and LLM (Taxation) from the University of Florida. He has worked at some of the preeminent international and regional law firms during his career, including, Ater Wynne, LLP (Portland, Oregon), Baker & McKenzie (San Francisco), and Bullivant Houser Bailey LLP (Portland, Oregon).
